Terms of Service for Electronic Services
1) General Provisions
By using the Yo platform, you accept the rules outlined in these Terms of Service. The latest version of the Terms is available at https://www.yolearning.com/pl/terms-and-conditions, and the Privacy Policy, which is an integral part of these Terms, is available at https://www.yolearning.com/pl/privacy-policy. The owner of the Yo platform (hereinafter referred to as the “Service Provider”) is:

Key Definitions:

Platform, Yo service: a language e-learning platform accessible at www.yolearning.com.

Terms: this document that outlines the rules for accessing the Yo service provided by the Service Provider.

Service: any digital services or access to Yo content as specified in the agreement with the User or Subscriber.

User: a person who is at least 18 years old or, if at least 16, has reviewed these Terms in the presence of a parent or legal guardian who accepts the Terms on their behalf.

Consumer: an individual using the service for purposes unrelated to business or professional activity.

Entrepreneur with consumer rights: an individual entering an agreement for purposes connected to, but not directly related to, their profession.

Subscriber: an entity that enters into an agreement with the Service Provider to grant access to the Yo platform to its employees, associates, or other authorized persons.

Cooperation Agreement: an agreement between the Service Provider and Subscriber that establishes the terms and funding for access to the Yo platform for Users covered by that agreement.
2) Technical Requirements
Access to the platform requires a device (computer, tablet, phone) with an Internet connection. Full use of features, such as online conversations, requires a Google account (an email address in the @gmail.com domain).
3) User Accounts
Creating an account on the Yo platform is free. After registering, the User gains basic access to platform features but cannot enroll in language conversations. During registration, the User must provide accurate information, including their birth date, and activate the account within seven days via a link sent to their email.
To ensure proper platform functionality, the User must keep their email address up to date. It is prohibited to create multiple accounts by the same person, share or sell accounts, except in cases specified by a Cooperation Agreement.
Public Profile Visibility
By registering, the User consents to the public display of their account name, first name, age, reviews, and list of conversations enrolled in. Adding a profile photo and social media links implies consent to their public sharing within the service and on the Service Provider’s websites. If the User enrolls in an online conversation, it will appear as a Google calendar event for both participants, displaying basic public information from the User’s Google account, such as first and last name and e-mail address. If the Subscriber provides access to the service, data sharing is subject to the Cooperation Agreement.
Safety and Good Practices User actions on the platform must comply with applicable laws and good practices. Posting illegal, harmful, or disruptive content is prohibited.
4) Terms of Service Use
A User using the Yo platform agrees to adhere to these Terms, the Privacy Policy, and any additional rules set by the Service Provider. Failure to comply may result in account suspension or deletion.
User Rights and Obligations:

The User has the right to use the platform according to the functionalities and scope of the subscribed service.

The platform may not be used for unlawful activities, including intellectual property violations or offensive behavior towards others.

All content shared by the User must comply with legal standards and good practices. The Service Provider reserves the right to remove inappropriate content.
Right to Modify Services:
The Service Provider reserves the right to modify platform features and services, including updates, improvements, and feature expansions. Such changes may impact platform functionality and do not require User consent if aimed at enhancing service quality. Users will be informed of such changes in advance.
5) Payments and Subscriptions
Types and Scope of Services Provided
The Service Provider offers free account management on the platform and, for a fee, access to additional services and digital content, including but not limited to an online appointment booking system and preparatory materials, such as glossaries or question sets. Detailed information about paid services is available on individual product pages. If access to the Yo platform results from a Collaboration Agreement with the Client, the scope of available services and the rules of their use are defined by the conditions of that agreement, which may also specify other rules regarding registration, paid services access, and service usage.
Payments for services in the one-time payment model
Fees for one-time payment services are collected in advance for the indicated period, according to the website's price list or at the promotional price applicable as part of a given offer. Access to the service is activated after the payment is received by the intermediary. In the case of individual customers, the subscription period starts from the date of activation of the service, and if the user has an active subscription, the next period is counted from the end of the previous one. After the paid period, access to the course expires, but the user is not obliged to extend it or submit a resignation (unless the contract with the Service Provider provides otherwise).
Payments for services in the subscription model
Payment for access to selected services, if the Service Provider allows such an option, may also be made by purchasing a subscription for a selected period in the amount consistent with the website's price list or, during the promotion period, at a reduced price determined in the promotion conditions.
Payment in the subscription model is made in advance electronically via the external Stripe platform as part of the Easytools payment gateway. The Service Provider reserves the right to introduce additional payment methods, and Users will be informed about changes in the manner indicated in the Regulations.
Access to the paid service in the subscription model is activated after the Service Provider receives confirmation of receipt from the payment intermediary.
Responsibility for payments made by Users via Easytools lies with the operator handling the transactions to the extent provided for by generally applicable law and its own regulations. The user should read these regulations, and in particular the terms of sale and payment and the privacy policy of this operator, available at the links below:

By paying via Easycart and Stripe, the User accepts the payment rules of this operator.
A User who has not used access to Yo's paid services during the purchased subscription period is not entitled to a refund of the payment in whole or in part for the unused access, except for the situations provided for in the Regulations.
Access to paid services in the subscription model is automatically extended for the next billing period until the resignation is expressed by canceling the subscription, about which the User is informed when purchasing the subscription, subject to the possibility of blocking access by the Service Provider in accordance with the Regulations. If the User does not unsubscribe from the subscription before its renewal date in a given billing period, the subscription will be valid for the next billing period consistent with the previously purchased subscription period, and the Service Provider is entitled to charge the fee for the next subscription period via the payment operator.
The user may unsubscribe at any time, and access to paid content of the Yo website will be provided until the end of the paid billing period. To cancel your subscription, log in to your Easycart account using the same details you used to make the payment, open the "subscriptions" tab in your customer panel, select the Cancel plan option and confirm the cancellation.
Cancellation of the plan is also possible by contacting the Service Provider via e-mail or chat available directly on the platform.
Payments via Collaboration Agreement with the Client
Course fees may also be covered by the Client under a Collaboration Agreement. Access is activated under the terms established in that agreement.
Coupons and promotional codes
In the case of redeeming coupons purchased from external partners, the date of sale is considered to be the date of redeeming the coupon on our website.
VAT Invoices
To obtain a VAT invoice, the user should request it via email, providing the necessary information for issuance. The invoice will be sent to the user's email address.
6) Satisfaction Guarantee and Compensation for Service Interruptions
The Service Provider makes every effort to ensure the platform operates without disruptions. If maintenance work necessitates interruptions, the Service Provider will strive to keep any downtime to a maximum of 48 consecutive hours.
7) Published Content and Reviews
Content Moderation
The Service Provider allows content publication, including on forums, but reserves the right to moderate or remove content that:

Violates laws, promotes hate, or spreads misinformation,

Is offensive, personally attacks others, promotes competing products, or is irrelevant to the discussion,

Duplicates content from other threads or is unrelated to language learning.
Violations of the Terms may result in content publishing restrictions, and repeated violations may lead to account suspension.
Service Reviews
Reviews published by users are verified, including by cross-checking personal data with available information or through dedicated invitations to provide feedback.
8) Intellectual Property Rights
All content on the Yo platform is protected by copyright and may only be used by individuals with a paid subscription or under a contract with the Client. This content is intended solely for personal use and may not be redistributed. The Service Provider reserves the right to update and modify course materials.
9) Term of Agreement and Termination Conditions
Account Agreement
The account agreement is entered into free of charge and is effective indefinitely. Users can delete their accounts by submitting a request via email. The Service Provider reserves the right to block accounts that violate the Terms or to delete accounts inactive for over two years.
Paid Registration System Agreement
Access agreements for appointment booking calendars are set for a specific period according to the selected offer, with possible automatic renewal in the subscription model. Access to paid services is blocked upon expiration of the subscription, cessation of payment by the Client, or termination of the collaboration agreement.
10) Right to Withdraw from the Agreement
A user who is a consumer or has consumer rights may withdraw from the agreement without providing a reason. To exercise this right, they must submit a written or electronic withdrawal statement within 14 days of entering the agreement. A sample withdrawal statement is available on the website of the Office of Competition and Consumer Protection (UOKiK). Sending the statement to the Service Provider's contact address before the deadline suffices. The statement should include the information required in the sample form on the UOKiK website.
Upon withdrawal, the agreement is considered void, and the Service Provider will refund the payment within 14 days of receiving the statement. The refund will be made using the same payment method unless the user agrees otherwise. The right to withdraw does not apply if service delivery began with the user's explicit consent before the 14-day period elapsed, and the user was informed of the right's forfeiture upon starting the service.
11) Complaints and Service Non-Compliance with the Agreement
11.1 Service Not Delivered
If the Service is not provided, the user must notify the Service Provider. If the Service is not delivered promptly or within an agreed additional period, the user may withdraw from the agreement. The user may also withdraw without further request if:

The Service Provider clearly informed, or circumstances indicate, that the Service will not be delivered, or
-
The delivery date was essential to the user, and the Service Provider failed to meet it.
11.2 Service Non-Compliance with the Agreement
In cases of non-compliance, a consumer or user with consumer rights may request alignment with the agreement, request a price reduction, or withdraw from the agreement. The Service Provider may refuse if the requested alignment is impossible or disproportionately costly.
The user may submit a statement to reduce the price or withdraw if:

Aligning with the agreement is impossible or too costly,

The Service Provider failed to ensure compliance,
-
Non-compliance persists despite correction attempts,
-
The non-compliance is significant enough to justify a price reduction or immediate withdrawal, or
-
The Service Provider clearly indicated or circumstances suggest it will not ensure compliance within a reasonable time or without significant inconvenience.
The user may not withdraw if the non-compliance is minor.
11.3 Complaint Procedure
For complaints regarding non-compliant Services, the user should submit their complaint to the email address provided on the "Contact" page or by post to the Service Provider's headquarters. Complaints should include:

The user's name and contact information,

The account name or email associated with the account,

A description of the complaint with supporting reasons,

The user's signature and date.
The Service Provider will address complaints within 14 days unless otherwise stated by law. Responses will be provided in the form in which the complaint was received, to the address provided. The Service Provider may request additional information needed for complaint review, and failure to supply this may result in the complaint being dismissed.
12) Final Provisions
The Service Provider reserves the right to amend the Terms for justified reasons, such as:

Changes in law,

Compliance with administrative authority recommendations or decisions,

Enhancing service functionality and user support,
-
Ensuring security,
-
Preventing abuse,
-
Technological or functional updates, or
-
Introducing new features or options.
If a change significantly impacts Service access, the Service Provider will notify users 14 days in advance. Users who do not accept changes may terminate the agreement without notice within 30 days of the change date or notification.
13) Governing Law
All legal relations arising from the Terms are governed by Polish law. A consumer or user with consumer rights may pursue out-of-court dispute resolution methods, with more information available on the UOKiK and Financial Ombudsman websites and the ODR platform: https://ec.europa.eu/consumers/odr.
